Short answer
The DAM contract clauses that matter most cover renewal price caps, service levels with credits, data export format and timing, data residency, sub-processor changes, AI use of customer assets, and termination assistance. Fact: since 12 September 2025 the EU Data Act sets switching rules for SaaS contracts, and switching charges end from 12 January 2027.
How to use the DAM clause checklist
The DAM clause checklist groups contract terms into five areas: commercial, service, data protection, AI use, and exit. Each area limits a risk that grows after the platform holds years of assets, metadata and integrations. Review the vendor's paper against each area, and record every gap with an owner.
DAMSelection gives practical guidance for buyers and is no substitute for legal advice. Legal counsel drafts and approves the final wording. The checklist helps the selection team brief counsel on what a DAM contract needs, so legal review starts with the right priorities.
Start the clause review during the score checkpoint of the Selection Route, in parallel with the security review. Vendor contracts can arrive as a set of documents: a master agreement, an order form, a data processing agreement, service level terms and an acceptable use policy. Map each clause to the document that holds it, because terms in an online policy can change without signature.
Clause-by-clause checklist
The clause-by-clause checklist lists every DAM contract term the selection team should confirm, with what to secure and the wording that signals a gap.
| Clause | What to secure | Red flag wording |
|---|---|---|
| Price annex | Five-year prices per line item | "Prices as per current price list" |
| Renewal cap | Fixed percentage or index, whichever is lower | "Subject to annual review" |
| Repackaging | Same scope at capped price after product renames | "Successor products at then-current rates" |
| Auto-renewal | Notice window of at least 90 days | Renewal notice of 30 days or less |
| Service levels | Monthly availability target with service credits | Availability "targets" without credits |
| Chronic failure | Termination right after repeated breaches | Credits as the sole remedy |
| Support | Response times by severity, in hours | "Commercially reasonable efforts" |
| Data residency | Region for storage, backups and AI processing | "May process data in any region" |
| Sub-processors | Advance notice of changes and a right to object | Changes "effective on publication" |
| Breach notice | Notification deadline in hours | "Without undue delay" only |
| AI training | No training on customer content without opt-in | "To improve our services" |
| Ownership | Customer owns assets, metadata, configuration and outputs | Vendor licence to "aggregated data" without limits |
| Export | Formats, scope and timing defined | "Export via the user interface" |
| Termination assistance | Assistance period and day rates fixed | "Assistance at then-current rates" |
| Deletion | Certified deletion after the retrieval period | No deletion commitment |
| Unilateral changes | No material reduction of features or terms in the term | "Vendor may modify these terms at any time" |
| Liability | Higher cap for data breaches and confidentiality | One cap for everything, equal to fees for 12 months |
Commercial clauses
DAM commercial clauses fix the price of every year and every growth step, so the contract reflects the five-year cost curve. The pricing negotiation guide explains the levers. The contract has to capture them in an annex that survives renewals.
Check four points:
- The price annex shows each year, each line item and each tier rate, built from the five-year model in the TCO Calculator.
- The renewal cap applies to all line items, including add-ons and AI credits.
- A renamed or restructured product keeps the capped price for the same scope.
- Auto-renewal leaves a notice window long enough to run a renewal review.
DAMSelection assessment: auto-renewal windows of 30 days or less leave too little time for the Renewal Radar playbook, which starts 180 days before renewal.
Service levels and support
DAM service levels turn availability and support promises into measurable commitments with a financial remedy. A service level without a credit is a target. A credit without a termination right caps the vendor's exposure at a small percentage of fees.
Secure five terms:
- Monthly availability target for the application, the API and the delivery CDN, measured separately.
- Exclusions limited to announced maintenance windows outside the buyer's business hours.
- Service credits that increase with each step below the target.
- A termination right after repeated misses, such as three months in any rolling twelve.
- Support response and resolution targets by severity, with severity defined by business impact.
Include recovery point and recovery time objectives in the service terms. The security review collects the vendor's current figures, and the contract makes them binding.
Data protection, residency and sub-processors
DAM data protection clauses make the GDPR processor terms concrete for a media library. Fact: Article 28(3) GDPR lists the obligations a processor contract must contain. They include processing only on documented instructions, security measures, sub-processor conditions, assistance, deletion or return at the end of the service, and audits.
Add four DAM-specific terms:
- Residency for primary storage, backups and AI processing, named by region, in line with the buyer's data residency requirement.
- Advance notice of sub-processor changes, with a right to object and a right to terminate when an objection is refused. Article 28(2) GDPR gives the basis for the objection right.
- A breach notification deadline in hours, so the buyer can meet the 72-hour notification duty in Article 33(1).
- Audit rights satisfied by current ISO/IEC 27001 and SOC 2 reports, with on-site audit rights after a breach.
AI use of customer assets and metadata
The AI use clause states whether the DAM vendor may use customer assets, metadata, prompts or outputs to train or improve models offered to other customers. A DAM holds a company's unreleased products, campaigns, faces and brand assets, so the default should be no training without written opt-in.
Write the clause to cover six points:
- No use of customer content to train, fine-tune or evaluate models offered to others, without written opt-in.
- The same restriction flows down to AI sub-processors, named on the sub-processor list.
- The region where AI processing runs, and whether content leaves that region.
- Customer ownership of AI outputs: tags, descriptions, transcripts and generated renditions.
- Inclusion of AI-derived data, such as tags and embeddings, in exports and in deletion at exit.
- Notice before new AI features that process customer content are switched on by default.
Fact: Article 28(3)(a) GDPR requires a processor to process personal data only on documented instructions from the controller. Images of identifiable people are personal data, so vendor training on them needs a clear legal and contractual basis. Watch for broad phrases such as "to improve our services" or "aggregated and de-identified data", which can cover model training. The AI in DAM guide covers what AI features do in practice.
Export, termination assistance and the EU Data Act
DAM export and termination clauses decide whether the buyer can leave with every asset, rendition and metadata field. Fact: the EU Data Act, Regulation (EU) 2023/2854, applies from 12 September 2025, and its Chapter VI on switching covers data processing services, including SaaS.
| Data Act topic | What applies | Source |
|---|---|---|
| Scope | Chapter VI on switching covers data processing services, including SaaS | European Commission |
| Obstacles | All providers remove obstacles customers face when they want to switch | European Commission |
| Exportable data | Input and output data, including metadata, generated by the customer's use of the service | European Commission |
| Exclusions | Data protected by intellectual property rights or constituting a trade secret of the provider | European Commission |
| Export format | SaaS and PaaS providers export data in a commonly used and machine-readable format | European Commission |
| Switching charges | Costs of switching and data egress may be charged until 12 January 2027, then removed | Article 29; European Commission |
DAMSelection assessment: write the notice period, transitional period, retrieval period and deletion terms into the DAM contract as numbers, and ask counsel to check each against the Data Act text.
Two limits apply. Article 31(1) sets a specific regime for custom-built data processing services, with fewer switching obligations. The Commission's Digital Omnibus proposal, COM(2025) 837, would amend parts of the Data Act; check its status before signature.
Go further than the minimum in a DAM contract. Define the export scope by layer, set day rates for termination assistance, and require a test export each year. The European Commission published draft non-binding standard contractual clauses for cloud computing contracts in November 2025, with clauses on switching and exit, termination, security and liability that counsel can adapt. The exit strategy guide lists the export layers.
Frequently asked
What clauses should a SaaS contract include?
A SaaS contract for a DAM should include a five-year price annex, a renewal cap, service levels with credits and a termination right, data residency, sub-processor change notice, a breach notification deadline, an AI training restriction, customer ownership of content and outputs, defined export formats, termination assistance and certified deletion.
Does the EU Data Act apply to DAM SaaS contracts?
Yes. The EU Data Act covers data processing services, including SaaS, and Chapter VI on switching applies from 12 September 2025. The European Commission states that providers must remove obstacles to switching, and that switching charges, including data egress charges, end from 12 January 2027.
How do I stop a DAM vendor training AI on our assets?
Write a clause that bars use of customer assets, metadata, prompts and outputs to train or improve models offered to others without written opt-in. Extend it to AI sub-processors, name the AI processing region, and include tags and embeddings in export and deletion at exit.
What should a DAM termination assistance clause cover?
A DAM termination assistance clause should cover export scope by layer, file and metadata formats, the assistance period, fixed day rates, the data retrieval period, and certified deletion afterwards. The EU Data Act sets minimum switching terms; a DAM contract should add the asset-specific detail.
Are DAM service level credits worth negotiating?
Service level credits are worth negotiating when they increase with each step below the target and come with a termination right after repeated misses. Credits alone cap the vendor's exposure at a small share of fees, so the termination right carries the real protection.
